1. Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Tensai Design Studios LLC, operating under the trade name TensaiRoutes ("TensaiRoutes", "we", "us", or "our"), a New Mexico limited liability company, and the entity or individual ("Customer", "you") accessing or using our wholesale voice over internet protocol (VoIP) termination services ("Services").

By registering for an account, topping up a balance, or sending any traffic through our network, you accept these Terms in full. If you do not accept these Terms, do not use the Services.


2. Eligibility and Account Registration

2.1 Business Use Only

The Services are offered exclusively to businesses, carriers, call centers, internet telephony service providers (ITSPs), and resellers. We do not provide services to residential consumers or end users. By registering, you represent that you are acting on behalf of a legally constituted business entity.

2.2 Accurate Information

You agree to provide accurate, complete, and current information during registration and to update that information promptly if it changes. We reserve the right to suspend or terminate accounts where we have reason to believe registration information is false, incomplete, or misleading.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and authentication details. You are liable for all activity conducted through your account, whether or not authorized by you.


3. Services

3.1 Nature of Service

TensaiRoutes provides wholesale international SIP voice termination on a prepaid basis. Services are provided on a best-effort basis over the public internet. We do not guarantee specific call quality, answer-seizure ratios, post-dial delay, or network uptime, though we take reasonable steps to maintain service quality.

For customers requiring guaranteed quality, dedicated capacity, or priority routing, premium routes are available on select corridors. Premium route pricing differs from standard rates and is negotiated on a case-by-case basis. Contact us at [email protected] to discuss premium routing requirements.

3.2 Supported Destinations

We offer termination to specific international destinations as published on our website or provided in your rate deck. Supported destinations and rates are subject to change. We will make reasonable efforts to notify customers of significant changes.

3.3 No Emergency Services (E911)

THE SERVICES DO NOT SUPPORT EMERGENCY CALLING (E911 OR E112). Do not use the Services in any situation where emergency services access is required. You must ensure that all users of traffic you route through our network have access to an alternative means of contacting emergency services. You agree to inform your own customers of this limitation.

3.4 No US Domestic or Interstate Termination

TensaiRoutes does not offer and expressly prohibits the use of the Services for termination of calls to US domestic or interstate destinations. Permitted use is strictly limited to international traffic originating from outside the United States to international destinations as defined in the rate deck.


4. Regulatory Compliance

4.1 Customer Compliance Responsibility

Customer is solely responsible for ensuring its use of the Services complies with all applicable laws and regulations in the jurisdictions in which it operates, including telecommunications licensing requirements, lawful intercept obligations, data retention laws, and any local number portability requirements.

4.2 Reseller Responsibility

Where Customer resells or sub-routes traffic to its own customers, Customer accepts full responsibility for its customers' compliance with applicable laws and these Terms. Customer shall indemnify TensaiRoutes against any claims, penalties, or costs arising from its downstream customers' traffic or conduct.

4.3 Prohibited Jurisdictions

Customer shall not use the Services to carry traffic in violation of any trade sanctions, export controls, or telecommunications restrictions applicable in the originating or terminating jurisdiction.


5. Acceptable Use

5.1 Prohibited Traffic

Customer agrees not to use the Services to originate, carry, or terminate:

  • Calls intended to defraud, harm, or harass any person;
  • Traffic associated with robocalling, auto-dialing, or mass unsolicited calls in violation of applicable legislation in any applicable jurisdiction;
  • Traffic associated with international revenue share fraud (IRSF), wangiri, traffic pumping, or any other form of telecommunications fraud;
  • Calls to premium rate numbers, satellite numbers, or any number type known to be associated with traffic pumping or fraudulent revenue generation;
  • Calls to US domestic or interstate destinations;
  • Calls to or from numbers on any applicable Do Not Call list where such calls would violate applicable law;
  • Any traffic that violates applicable law in the originating or terminating jurisdiction.

5.2 CLI Integrity

Customer must ensure that all traffic routed through our network presents a valid, non-spoofed caller line identification (CLI) that accurately represents the originating number. Presentation of false, misleading, or spoofed CLI is prohibited and may result in immediate account suspension.

5.3 Traffic Monitoring

We reserve the right to monitor traffic patterns for fraud, abuse, or unusual activity. We may block or suspend traffic at our discretion if we detect patterns consistent with fraud, abuse, or violation of these Terms, without prior notice.

5.4 Customer Responsibility for Downstream Use

Where Customer resells or sub-routes traffic to its own customers, Customer is solely responsible for ensuring that its customers comply with these Terms and all applicable laws. Customer shall indemnify TensaiRoutes against any claims, penalties, or costs arising from Customer's downstream customers' traffic or conduct.


6. Prepaid Billing and Payment

6.1 Prepaid Only

All Services are provided on a prepaid basis. Calls will be rated against your prepaid balance in real time. Service will suspend automatically when your balance reaches zero. We do not extend credit.

6.2 Top-Up

Balances may be topped up via credit card or bank wire transfer as specified in your account portal. Top-up amounts are at your discretion subject to any minimums we communicate to you. Credit card top-ups are applied instantly. Bank wire transfers are typically applied within one to two business days of confirmed receipt.

Top-up minimums scale with account activity. The first three top-ups on a new account carry no minimum amount. From the fourth top-up onward, a $200 minimum applies to each top-up.

6.3 Rates

Rates are as published in your assigned rate deck. Rates are subject to change. We will make reasonable efforts to provide advance notice of rate changes, but reserve the right to apply rate changes immediately where required by upstream carrier changes or network conditions.

Standard rates apply to best-effort routes. Premium route pricing, where available, is agreed separately and confirmed in writing before activation.

Rate review requests require a minimum sustained volume of 100,000 minutes per month over two consecutive billing months.

6.4 No Refunds on Used Balance

Used minutes are consumed instantly and cannot be recovered. We do not provide refunds for used balance. Unused balance may be refunded at our discretion upon account termination, less any applicable processing fees, provided the account is in good standing and not suspended for a violation of these Terms.

6.5 Taxes

Customer is responsible for all applicable taxes, duties, or levies arising from its use of the Services. Amounts paid to TensaiRoutes are exclusive of any such taxes unless otherwise stated.


7. Service Limitations and Liability

7.1 No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENSAIROUTES' TOTAL LIABILITY TO CUSTOMER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO TENSAIROUTES IN THE 30 DAYS PRECEDING THE CLAIM. IN NO EVENT SHALL TENSAIROUTES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7.3 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including upstream carrier failures, internet disruptions, acts of government, or natural events.


8. Suspension and Termination

8.1 Suspension by TensaiRoutes

We may suspend or terminate your account immediately and without prior notice if:

  • Your balance reaches zero;
  • We detect fraud or abuse;
  • You violate any provision of these Terms;
  • We are directed to do so by a regulatory or law enforcement authority.

8.2 Termination by Customer

You may request account closure at any time by contacting us at [email protected]. Termination does not waive any obligations incurred prior to the termination date.

8.3 Inactive Accounts

Accounts with no traffic and no top-up activity for 60 consecutive days are considered inactive. Inactive accounts remain open and any remaining balance is preserved. Upon returning to activity, the top-up minimums in Section 6.2 continue to apply based on the account's cumulative top-up count. Tensai Routes reserves the right to flag or review inactive accounts at its discretion.


9. Indemnification

Customer agrees to indemnify, defend, and hold harmless TensaiRoutes, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from:

  • Customer's use of the Services;
  • Customer's breach of these Terms;
  • Customer's downstream customers' use of the Services;
  • Any regulatory action arising from Customer's traffic or compliance failures;
  • Any claim by a third party arising from calls carried on Customer's behalf.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, without regard to conflict of law principles. Any dispute arising from these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association in Albuquerque, New Mexico. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.


11. Changes to These Terms

We may update these Terms at any time. Updated Terms will be posted at tensairoutes.com/terms with a revised effective date. Continued use of the Services after the effective date of updated Terms constitutes acceptance.
